Is subject ka raaz: Business Environment theory subject hai โ par examples + latest schemes + real company names likhne se 70 me se 60+ aaram se aate hain. Ye topic pakka aata hai: Business Environment ki nature, PESTLE/techniques of scanning, Economic reforms 1991, Liberalisation-Privatisation-Globalisation, WTO, FDI route, MRTP vs Competition Act, FEMA. Har answer me 1-2 real example (Amul, TATA, Zomato, Maruti, Paytm) zaroor dalo โ
UNIT 1 โ Introduction to Business Environment
1.1 Business kya hai? Aur uske around kya-kya hai?
Kalpana karo tumne Kichha me ek chhota "Tea Point" khola. Chahe aap kitna achha chai banao โ agar aas-paas road ki nayi highway ban gayi aur grahak nikal gaye, ya bahanabai ho gayi, ya customers ab "cold coffee" maang rahe hain aur tumhare paas sirf chai hai โ to tumhara business bina kisi galti ke dub jayega. Ye "aas-paas ki cheezein" hi Business Environment hai.
Business Environment = wo sabhi internal aur external factors (economic, social, political, legal, technological, natural, global) ka sum total jo kisi business ke functioning, decisions aur growth ko affect karte hain aur jin par business ka control bahut kam ya zero hota hai.
Famous definition (Arthur M. Weimer): "Business environment encompasses the climate or set of conditions โ economic, social, political, or institutional โ in which business operations are conducted."
Hinglish me: Business = machhli ๐ aur Environment = paani ๐. Machhli paani ki quality nahi badal sakti, par uske hisaab se tairakar zinda reh sakti hai. Business bhi environment ko nahi badal sakta โ usko samajhkar apne aap ko dhaalna padta hai. Isliye kehte hain: "Business jitna environment-savvy hoga, utna successful hoga."
1.2 Nature / Characteristics of Business Environment
Feature
Matlab + example
1. Sum total of all factors
Sirf ek cheez nahi โ economic + social + legal + tech + political sab mila hua
2. Dynamic in nature
Roz badalta hai โ 5 saal pehle UPI nahi thi, aaj bina UPI shop adhoori hai
3. Uncertain
Aage kya hoga pura bharosa nahi โ COVID ne travel industry ek dum rok di
4. Complex
Hazaaron factors ek saath kaam karte hain; ek se doosre par asar
5. Relative / not same for all
Ek hi environment ka asar alag-alag firms par alag โ Tata ko bandwidth mili, chhoti courier firm ko chot
6. Beyond control of business
Business tax rate, monsoon, news policies ko nahi badal sakta
7. Far-reaching impact
Ek policy (GST) se poori supply chain ka design badal jaata hai
Opportunity identify karna: Government ne EV subsidy di โ Tata, Ola, Ather ko bada mauka mila.
Threat pehchan kar bachna: Ola/Uber ne aa kar local taxi business ko chunauti di โ jo pehle samjha, wo bacha.
Resource ka sahi use: Kis state me plant lagaye (land, labour, subsidy) โ environment study se pata chalta.
Planning aur policy making: 5 saal ka plan environment ke andaze par banta hai.
Change se pehle tayyari: GST aane se pehle software update kar liya โ aise firms ko dhakka nahi laga.
Competitive edge: Maruti ne small-car + service network par focus kiya kyunki Indian environment padha tha.
Image & goodwill: CSR, green manufacturing se brand value badhti hai.
Global market me survive: Japan ke keizen standards bharat me aane se auto parts industry upar uthi.
Real life example โ Amul (GCMMF): 1946 me Kaira district ke doodh wale farmers ko private dairies ka exploitation dikha (social + economic environment). Family ne milk cooperative banaye โ environment samajh kar model banaya. Aaj Amul โน80,000+ crore turnover ka brand hai, aur "White Revolution" ka hero. Same doodh, same gaay โ sirf environment ka sahi padho aur system badla. Yehi Business environment ka practical example hai ๐
1.4 Dimensions / Components of Business Environment
Question aata hai: "Business environment ke components likhiye." Isko diagram ki tarah likho:
BUSINESS ENVIRONMENT
|-- INTERNAL ENVIRONMENT (andar, control me)
| 1. Value system 2. Mission/Objectives 3. Management structure
| 4. Internal power relationships 5. Human resources 6. Company culture
|
|-- EXTERNAL ENVIRONMENT (bahar, control me nahi)
A. MICRO / Task environment (direct effect, thoda influence possible)
1. Customers 2. Competitors 3. Suppliers 4. Public/Media
5. Intermediaries (distributor, dealer) 6. Financiers (bank, investors)
B. MACRO environment (sab firms par asar, control zero)
1. ECONOMIC -> GDP, inflation, interest rate, income, taxation
2. SOCIAL -> culture, family, education, urbanisation, health, values
3. POLITICAL -> govt stability, ideology, policy stand, trade unions
4. LEGAL -> laws, MRTP, FEMA, Consumer Protection, Companies Act
5. TECHNOLOGICAL -> R&D, innovation, automation, obsolescence
6. NATURAL/PHYSICAL -> monsoon, climate, natural resources, pollution
7. DEMOGRAPHIC -> age, sex, population, rural-urban, literacy
8. GLOBAL/INTERNATIONAL -> WTO, IMF, FDI, exchange rate, tariffs
Yaad karne ki trick โ "PESTLE + DE" (sabse famous):Political, Economic, Social, Technological, Legal, Environmental/Natural + Demographic + International. Interview me "PESTLE analysis" bolna instant expert feel deta hai ๐
1.5 Environmental Scanning โ "Aas-paas nazar rakhna"
Environmental Scanning = wo process jisme firm apne business ke around ki information ik-athi karti hai, analyse karti hai aur future ka asar predict karti hai โ taaki strategy sahi bane. Isme chaar stages hote hain (kuch kitaabein 3-4, kuch 5 likhti hain).
Stages of Environmental Scanning
Stage
Kya hota hai
Example
1. Scanning (general)
Broad level par environment ki information collect karna โ jis me koi specific focus nahi
News, journals, annual reports padhna: "FAME scheme aa rahi hai"
2. Monitoring
Jo important trends dikhe, unko track karna โ kis direction me ja rahi hai
EV sales data har mahine follow karna
3. Forecasting
Trends ke aadhaar par future prediction โ kya hoga, kitna hoga
"2030 tak 30% vehicles EV honge"
4. Assessment / Appraisal
Us prediction ka company par kya impact hoga, kya karna chahiye โ yahi decision stage
"Hum battery partner dhoondein ya charging station me invest karein?"
Real life example: 2020 me jab UPI/QR payment aaya, to Auto-rickshaw walon aur chhoti dukaanon ne "scanning" kiya (log UPI maang rahe hain), "monitoring" kiya (competitor ne QR laga diya), "forecast" kiya (cash wale customers kam honge) aur "assessment" kiya ki abhi bhi QR lagana zaroori hai. Jisne jaldi lagaya โ uski bikri ruki nahi. Wahi Environmental Scanning hai, bilkul practical ๐
Economic Environment = wo economic factors jo business ki demand, cost, profit, expansion aur budgeting ko affect karte hain โ jaise GDP & growth rate, inflation, interest rate, exchange rate, income levels, tax system, unemployment, government expenditure, fiscal & monetary policy, economic system.
Main components (economic environment ke factors)
Factor
Business par asar
GDP / growth rate
GDP badhega to demand badhegi; recession me sale girti hai
Inflation
Kachcha maal mehnga โ margin kam; customers kam kharch karte hain
Interest rate / Credit
Loan mehnga ho to home/car/business loan kam; sasta ho to demand badh
Money supply & monetary policy (RBI)
Repo rate se liquidity, EMI, investment decide
Fiscal policy (Government)
Tax badha ya kam, subsidy, government spending โ kaunsa industry boom karega
Income distribution & purchasing power
Middle class badhega to Jio, Paytm, FMCG ka market badhega
Capitalist / Socialist / Mixed โ business ki freedom decide
Infrastructure & power
Road, port, power ki quality se logistics cost
Real life example: 2020 me lockdown se GDP gira โ logon ne naye fridge/AC kharidna rok diya โ showroom sales gir gayi โ companies ne production kam kiya โ karmchariyon ki salary par asar. Ye poori chain Economic Environment ka live demo hai. Aur sarkar ne UPI + Direct Benefit Transfer kiya, to demand phir se uthi.
2.2 Economic Systems
System
Kaun control karta hai
Business freedom
Example
Capitalism (Market economy)
Private players; price demand-supply se
Zyada
USA, old UK
Socialism (Command economy)
Government/State โ production aur price sarkar decide
Bahut kam
Old USSR, North Korea
Mixed Economy
Dono: private + public sector saath
Medium
India โ
Hinglish me: Capitalist system = "jisko bhi karna hai karo, market ka haath (invisible hand) sab theek karega". Socialist = "sab kuch sarkar karegi". India ka model = "dono karva lo, par regulator ki nazar rahegi" โ isliye railway, defence jaise strategic sector me sarkar, aur mobile, dukaan, restaurant me private.
2.3 Indian Economy โ Growth Strategy & Planning
(A) India ki Planning ka safar
Plan / Event
Period
Main baat
First Five Year Plan
1951โ56
Agriculture + irrigation par focus (HarrodโDomar model)
Second Plan
1956โ61
Mahalanobis model โ heavy industry (Bhilai, Rourkela steel plants)
Fifth Plan
1974โ79
Garibi Hatao, self reliance
Eighth Plan
1992โ97
Economic reforms 1991 ka base; LPG (liberalisation)
Twelfth Plan
2012โ17
Aakhri five year plan โ "Faster, More Inclusive and Sustainable Growth"
NITI Aayog
2015 se
Planning Commission ki jagah; 3-year action agenda + vision documents
(B) Growth Strategy โ Indian model
Service-led growth: IT/ITES se India ki growth; Bengaluru "Silicon Valley of India".
Manufacturing push: Make in India (2014), PLI schemes (Production Linked Incentive), Atmanirbhar Bharat (2020).
Infrastructure push: Highways, ports, new railway, Gati Shakti master plan, dedicated freight corridors.
Digital economy: Aadhaar, UPI, Jan Dhan, ONDC, Digital India โ world ka sabse bada digital payment system.
Financial inclusion: Jan Dhan Yojana, Mudra Loan, Stand-up India (chhote business ke liye loan).
Tax reform: GST (2017) โ "One Nation, One Tax".
Ease of doing business: Single window, insolvency law (IBC 2016), fewer licences.
Uncertainty: Notebandi (2016), COVID (2020) โ short term pain, par formalisation badha.
Real life example โ GST: Pehle ek truck UP se Uttarakhand aane me border par ghanton khada rehta tha (checkpost + entry tax), aur "one state one tax" ki wajah se cost badh jaati thi. 1 July 2017 ke baad GST aaya โ checkposts khatm, e-way bill se tracking, aur supply chain planning aasan. Carrier companies ka turnaround time ghata, aur customer ko price bhi better mila. Ye ek policy ka business environment par direct asar hai โ
2.4 Economic Reforms 1991 (LPG) โ sabse important topic
1991 ka Balance of Payments (BoP) Crisis: 1991 me India ke paas foreign exchange reserve sirf ~2 weeks ke import ke liye bache the. BoP crisis, fiscal deficit aur Gulf War ka asar โ isliye IMF ke saath loan hua aur New Economic Policy (LPG) shuru hui. Isko economists "India's economic liberalisation" kehte hain.
Government ke controls/compliance kam karna โ industrial licensing, price control, import licence hataana
Industrial licensing kam (licence raj ka ant), MRTP limit badhai, rupee devaluation (July 1991), interest rate relaxation, FERA me badlav, product market me price control phir hata
Privatisation
Public sector ki role kam karna; private sector ko kholna; PSUs ka disinvestment
Public sector ke liye reserved industries 17 se 8 (aur later 3) kiye; Disinvestment โ Maruti, VSNL, IPCL, BALCO ke shares beche; National Renewal Fund (workers ke liye), Navratna/ Maharatna scheme
Globalisation
Economy ko world market se jodna โ trade, investment, technology, capital ka free flow
Import duty kam (tariff reduction), FEMA, rupee convertibility (current account), India ne WTO join kiya (1995), foreign bank entry, MNCs ko welcome, export promotion (SEZ, later)
Impact / Outcome of LPG Reforms
Positive
Negative
GDP growth tez (1990s me 6-7%), services sector ka boom (IT, BPO)
Rupee-dollar rate, FEMA/RBI regulation; export-import par direct asar
Answer me 2-3 number likhna zaroori hai (2024-25 ke aas-paas): GDP growth ~6.5โ7% (India fastest growing major economy), services ~55% of GDP, agriculture ~18%, forex reserves $600-700 bn, repo rate ~6.5%, GST slab 5/12/18/28%, inflation (CPI) target 4% ยฑ 2%. Number exact yaad na ho to "approx/around" likho โ par number likhne se answer strong lagta hai ๐
Probable exam questions โ Unit 2
Economic environment ke components likhiye aur business par unka asar samjhaiye. (10)
1991 ke economic reforms (LPG) ko samjhaiye. Iska Indian business par kya impact hua? (12)
India ki economic planning / growth strategy ki main baatein likhiye. (10)
Capitalist, Socialist aur Mixed economy me antar. India kaisi economy hai? (10)
Liberalism, Privatisation aur Globalisation ko define kijiye. (5-5)
Positives: GDP growth, FDI, consumer choice. Negatives: SSI par dabaav, unemployment, inequality.
Sector shares โ Agriculture 18%, Industry 28%, Services 54% of GDP.
UNIT 3 โ Technological Environment
3.1 Technological Environment โ kya hai?
Technological Environment = wo sabhi technological factors โ nayi inventions, research & development, automation, digital platforms, innovation, IT infrastructure, patents aur technology policy โ jo business ke production, cost, product, distribution aur competition ko badalte hain.
Hinglish me: Technology ek "speed breaker + shortcut" dono hai. Jisne apnaya โ shortcut mil gaya (Jio ne 4G data sasta karke poori industry badal di). Jisne ignore kiya โ speed breaker (Nokia ne touchscreen/smartphone ko halka samjha, aaj market me nahi hai ๐ฌ).
Nature / Characteristics of Technological Environment
Feature
Matlab
Fast changing
Har 2-3 saal me naya version โ 2G โ 3G โ 4G โ 5G ka safar
Continuous R&D
Companies ka R&D budget growth ka engine โ Tata, Reliance, Infosys, Wipro
Cost reduction + quality
Automation se per-unit cost kam, quality consistent
Obsolescence risk
Purana technology quickly bekaar โ 3 saal me laptop purana
Need of skill upgradation
Staff ko digital training chahiye (Tally, Excel, CRM, AI tools)
Government support & regulation
Startup India, Digital India, semiconductor PLI, IPR (patent law) se support aur control
Global competition
Ek click me foreign competitor market me aa jaata hai (Amazon vs kirana)
Impact (Interface) of Technology on Business
Product design: Electric bikes, smart TVs, digital thermometers โ sab tech ka kamaal.
Manufacturing: CNC, robotics, 3D printing, IoT sensors se factory "smart" bani.
Marketing & Distribution: E-commerce (Amazon, Flipkart, Meesho), social media advertising, UPI-based payments.
Cost & Productivity: One machine 24 ghante chal sakti hai; per unit cost kam.
HR & Work culture: Work from home, video interviews, HRMS software; naye skill chahiye.
Financial management: Tally/ERP se accounting, GST filing, online banking.
New business models: Ola/Uber (asset light), Swiggy/Zomato (delivery), Netflix (streaming), Paytm (fintech).
Real life example โ Jio: 2016 me Jio ne sasta data + free calls diya. Iske 3 asar dekho: (1) Data consumption blast โ video streaming, YouTube, reels culture. (2) Dookan walon ne QR code based digital payment apnaya. (3) Chhote phone sellers ko 4G feature phone (JioPhone) par focus karna pada. Ek technological change ne poori value chain hilaa di. Yehi "technological environment ka interface with business" hai ๐ฑ
3.2 Technology Transfer
Technology Transfer = technology (know-how, designs, process, trade secrets, patents) ko ek desh/firm se doosre desh/firm tak pahunchana โ technical know-how, training, documentation ya joint venture ke roop me.
Channels / Modes of Technology Transfer
Mode
Kaise hota hai
Example
Joint Venture
Do firms milkar nayi company banate hain โ technology + capital share
Manufacturing hub banane ke liye investment + skill
PLI Schemes
Production Linked Incentive โ mobile, pharma, solar, semiconductor
National Science & Technology Policy
R&D funding, innovation ecosystem, IPR protection
Aadhaar + UPI + ONDC
Digital public infrastructure โ DBT, payments, e-commerce democratisation
Answer me ye 3 line answer ko strong bana deti hai: (1) "Technology business environment ka wo part hai jo sabse tez badalta hai." (2) "Adopt karne me delay = obsolescence = market share loss (Nokia/Kodak example)." (3) "India ka approach: technology transfer + self-reliance (Atmanirbhar Bharat) dono โ jaise semiconductor mission."
Probable exam questions โ Unit 3
Technological environment ki nature aur business par uske prabhav (impact) likhiye. (10)
Technology transfer ke channels/modes likhiye aur uske benefits aur problems samjhaiye. (12)
Assessment ke 5 angle: tekno-economic, social/environment, legal/IPR, infra-skill, scalability.
India ke flagship: Digital India, Startup India, PLI, semiconductor mission, UPI/ONDC.
UNIT 4 โ Global Environment
4.1 Global / International Business Environment
Global Environment = wo international factors โ WTO rules, trade agreements, import-export policy, foreign exchange rate, FDI rules, global demand, foreign culture โ jo kisi desh ke business ko poore world ke saath jodte hain aur competition ko ghar tak laate hain.
Why firms go Global? (Kyun bahar jaate hain)
Reason
Matlab + example
1. Market expansion
Ghar ka market saturate ho gaya โ Maruti Africa/Latin America me export karti hai
2. Cost advantage
Sasta labour/resource โ bharat me IT/BPO ka model, Vietnam me garments
3. Raw material & resources
Tel, gas, minerals ke liye โ ONGC, Reliance ka overseas sourcing
4. Economies of scale
Bade volume se per-unit cost kam โ Apple ka global supply chain
Local market me fierce competition โ naye bazaar me jao
8. Risk diversification
Ek desh me recession ho to doosre desh se revenue
9. Brand building
"Global brand" ka image โ Tata, Mahindra, Zomato (Blinkit), Ola (UK/Aus test)
10. Duty/Quota bachana
Tariff avoid karne ke liye usi desh me plant โ Suzuki ka India/Europe setup
Routes / Modes of entering global business (Entry Strategies)
Risk & control: LOW ----------------------------------> HIGH
Investment: LOW ----------------------------------> HIGH
1. Exporting (indirect -> direct -> agent -> own office)
2. Licensing / Franchising
3. Contract manufacturing (make for other brand)
4. Management contract / Turnkey project
5. Joint Venture
6. Strategic Alliance (coke-pepsi type marketing tie-ups, airline code share)
7. Mergers & Acquisitions (M&A)
8. Wholly Owned Subsidiary / 100% FDI plant (Greenfield)
9. Global Sourcing / Outsourcing (Bharat me TCS-Infosys result)
Note: "outsourcing me ownership nahi, FDI me ownership + control hota hai".
Route

4.2 Global Players & India ka Global Trade Position
World's big players: USA (largest economy), China (largest exporter/manufacturer), Germany (engineering), Japan (auto, robotics), UAE/Singapore (trade hubs), EU as a bloc.
India ke strengths: IT services (TCS, Infosys, Wipro), pharma (generic medicines โ "pharmacy of the world"), auto components, gems & jewellery, textiles, agri export (rice, spices), digital payments (UPI ka global expansion).
India ke challenges: Logistics cost high (~13-14% of GDP), import dependency on crude oil, tariff/non-tariff barriers, low R&D spending, skill gaps.
FTA/Agreements: IndiaโUAE CEPA, IndiaโAustralia ECTA, India-EFTA (TEPA 2024), RCEP se India bahar raha (shuru me concerns).
4.3 FDI in India
FDI (Foreign Direct Investment) = ek desh ke business me doosre desh ka long-term investment โ plant, subsidiary, share capital ke roop me, jisme control/management me hissedaari hoti hai. FPI (Foreign Portfolio Investment) se alag hai kyunki FPI me sirf shares kharid rakhte hain, control nahi.
Point
Detail
Routes
(1) Automatic route โ bina government approval (most sectors, e.g. 100% in many manufacturing). (2) Government approval route โ sensitive sectors (defence, media, telecom security, atomic energy) me approval chahiye
Sectoral caps, land & labour issues, tax uncertainty, "hot money" concern, foreign control ka darr
Real life example: Samsung ka Noida plant world ka sabse bada mobile factory kehlata hai; Maruti Suzuki ka FDI ne India ka auto ecosystem khada kiya (Manesar, Gurgaon ke vendor clusters). Aaj India me iPhone assembly bhi FDI se hi ho raha hai โ ek factory se hazaaron support jobs, aur vendor industries bhi ban rahi hain.
4.4 WTO โ World Trade Organization
WTO = 1995 me GATT ki jagah bana global body jo desh ke beech trade ke rules banata aur disputes solve karta hai. Headquarter: Geneva, Switzerland. Principle: trade ko free, fair aur predictable banana (non-discrimination โ Most Favoured Nation & National Treatment principle ke through).
Benefits for India
Problems / Concerns
Market access โ Indian export ko sabse-favoured treatment
Developed countries ka subsidy/dumping (agriculture me)
Dispute settlement system โ case jeet sakte hain
TRIPS ke kaaran generic medicine aur patent price pressure
Foreign investment badhne me help
Agriculture par pressure โ subsidy aur MSP ke rules ka darr
Textile quota khatm โ bharat ko bada mauka mila
Non-tariff barriers (quality standards) ka bahana se protection
Technology aur best practices ka flow
Services me movement of labour (GATS mode 4) par developed countries rok
Yaad rakhne ki trick: WTO = "World Trade = Open market + friendly disputes". GATT (temporary, goods only) โ WTO (permanent, goods + services + IPR + investment). Geneva me baithta hai; 160+ members; "one country, one vote".
4.5 Scanning the Global Environment
Global me jaane se pehle company ko ye check karna chahiye (ye 8 point ka answer likh sakte hain):
Political stability: Kis desh me sarkar stable hai, coup/uncertainty ka risk kitna (Southeast Asia vs war-torn zone).
Currency & capital movement: Exchange rate risk, forex convertibility ke rule, hedging cost.
Real life example: Netflix japan me utna nahi chala kyunki content lokal nahi thi. par jab Netflix ne local content (anime, local films) banaya to subscriber badhne lage. Yeh dikhata hai ki sirf "achha product" kaafi nahi โ environment padhna zaroori hai.
Probable exam questions โ Unit 4
Globalisation kya hai? Firms global kyun jaati hain โ karan likhiye. (10)
Global market me enter karne ke routes/modes likhiye aur unka comparison kijiye. (12)
FDI kya hai? India me FDI ke routes aur benefits/issues likhiye. (10)
WTO ki sthapna, objectives, benefits aur India ke liye problems likhiye. (10)
Global environment ko scan (analyse) karte waqt kaunse factors dekhe jaate hain? (5)
Global scanning ke 8 factors: political, legal/IPR, economic, culture, competition, trade rules, tech/infra, currency risk.
UNIT 5 โ Political & Legal Environment
5.1 Political Environment
Political Environment = wo political factors โ government ka swaroop (democracy/autocracy), political ideology, political stability, ruling party ki policy, elections, trade unions, public opinion โ jo business ke rules, taxes, subsidies aur growth par asar dalte hain.
Components of Political Environment
Component
Business par asar
Political system / ideology
Capitalist vs socialist thinking โ licence raj vs ease of doing business
Real life example: 2016 me Government ne high-value notes band kar diye (demonetisation). Ek raat me cash economy thap โ chhote businessmen, daily wages, wedding season suppliers, kirana walon ko turant cash management badalni padi aur digital payments tez ho gaye (Paytm/UPI ka blast). Ye ek political decision ka direct business impact tha โ aur isi wajah se firms ko "political risk" ka planning karna padta hai.
5.2 Legal Environment
Legal Environment = wo sabhi laws, acts, rules aur judicial decisions jinke andar business ko chalna padta hai โ companies ka registration, contract, competition, consumer, labour, tax, foreign exchange, environment, IPR. Ye batate hain "kya permissible hai aur kya nahi".
Important laws ka overview (exam me naam likhna zaroori hai)
Law
Kaam / Business par asar
MRTP Act, 1969
Monopolies & Restrictive Trade Practices โ monopoly/restrictive/unfair trade practice par control (2009 me Competition Act ne replace kiya)
Competition Act, 2002
CCI (Competition Commission of India) โ anti-competitive agreements, abuse of dominance, M&A approval; CCI ka CCI lenient hai > MRTP
FEMA, 1999
Foreign Exchange Management Act โ FERA ki jagah; forex transaction, FDI, export-import payment, holdings ke rules
Companies Act, 2013
Company ka lakhana, directors, audit, CSR, financial statements ki requirement
Consumer Protection Act, 2019
Consumer ke adhikar, CCPA, e-commerce ke rules, misleading ad ka control
GST Act / Income Tax Act, 1961
Indirect aur direct tax liability; rate aur compliance define karta hai
Factories Act, 1948 / Labour Codes
Maximum working hours, safety, wages โ labour environment
Innovation ka protection โ violation par legal action (pharma, film, software)
Fiscal / Monetary laws
Budget, tax rates, RBI ka rate decision โ business cost aur demand
5.3 MRTP Act, 1969 (detail me โ bahut important)
MRTP Act = Monopolies and Restrictive Trade Practices Act, 1969 โ India ka pehla competition law. Iska maksad tha: monopoly concentration rokna, restrictive trade practices (jo competition ko rok dein) ko control karna, aur unfair trade practices (misleading ad, fake quality) par rok lagana. Iske tehat MRTP Commission kaam karti thi (1970 me sthapit).
MRTP Act ke main provisions
Registration of undertakings: Bade houses ko MRTP Commission me register karna padta tha (asset limit ke upar wale).
Control on monopolistic trade practices: Price badhana, supply rokna, profit artificially badhana โ inko roka jaata tha.
Restrictive trade practices (RTP): Jaise tie-in sale (ek saath doosra product lena zaroori), price fixing, exclusive dealing, area restriction, refusal to deal.
Globalisation (1991) ke baad WTO commitments, foreign competition ke liye naya framework chahiye tha.
Isliye Competition Act 2002 lagu hua (2009 se fully active) aur MRTP Commission ka kaam CCI ko chala gaya.
Trick to compare:MRTP (1969) = "Size dekho, rok do" (structural, big-is-bad mindset). Competition Act (2002) = "Behaviour dekho, rok do" (agreement/abuse dekhta hai, chahe company chhoti ya badi ho). Yaad rakhne ke liye: MRTP ka M = Monopoly (bade ko rokna), Competition Act ka C = Conduct (bure behaviour ko rokna).
5.4 FEMA, 1999 (detail me)
FEMA (Foreign Exchange Management Act, 1999) = wo act jo India me foreign exchange (forex) ke saare transactions, foreign investment, export-import ke payments, forex accounts aur resident/non-resident ke dealings ko control karta hai. Iska main aim: external trade & payments ko facilitate karna, aur forex market ko orderly rakhna. RBI aur Central Government iske rules banate hain. Ye FERA (1973) ki jagah aaya โ FERA ka approach "control" tha, FEMA ka approach "management + facilitation" hai.
FERA vs FEMA โ comparison (favourite exam question)
Basis
FERA (1973)
FEMA (1999)
Objective
Forex conserve/control karna (shortage ke daur me)
Forex ko manage + facilitate karna; trade ko aasan banana
Nature
Draconian/strict rules
Liberal, "management" oriented
Default ki nature
Criminal offence (jail ho sakti thi)
Civil offence โ compounding aur minimum penalty
Authority
Enforcement Directorate (ED) ka bada control
RBI/Rules se manage; ED ab bhi investigation karti hai par halka
Case burden
Accused ko prove karna padta tha ki wo innocent hai
Enforcement ko prove karna padta hai ki offence hui hai
Resident/Holding rules
Very restrictive โ forex holding/lakhana mushkil
Liberal โ resident forex accounts, ROI, investment ke route aasan
Dealings in forex: Authorised persons (banks) ke through hi forex ka buy/sell kar sakte hain.
Current account transactions: Mostly free โ par RBI ki "current account rules" ke under restrictions kuch cases me (school fees, travel limit etc.).
Capital account transactions: FDI/FPI, immovable property, foreign securities โ rules ke saath allowed.
FDI/ODI: Automatic route me allowed; special sectors me approval (DPIIT).
Export/Import: Payment, realisation, EDF (Export Declaration Form), FEMA ke compliance.
Penalty: Civil penalty (upto 3x amount involved, and $200,000 type limits), compounding, appeal to Appellate Tribunal (ATFE).
Resident: Indian resident foreign currency accounts (RFC) aur FCNR/NRE (for NRIs) ke rules.
Real life example: Tum Dubai se cousin ke liye iPhone laate ho ya bhai US me hai aur wahan se tumhe dollars bhejta hai โ ye FEMA ke rules ke andar hi hote hain (bank ke through, purpose batana, limit ke saath). Koi forex transaction outside bank/channel karta hai โ wo FEMA violation hai. Company FDI lekar branch chain kholti hai โ uske FDI route, reporting aur payment FEMA ke tehat hote hain. Isliye har MNC/startup ka CA FEMA compliance check karta hai.
Answer me likhne ka order (Unit 5 ka score card): (1) Political environment ka definition + components. (2) Legal environment ke 5-6 laws ka naam + ek line role. (3) MRTP Act: objectives + provisions + limitations. (4) FERA vs FEMA table (marks pakka). (5) Ek real example (demonetisation / Amazon v. CCI for competition / FDI route). Ye 5 point likh doge to 70 me 60+ confirmed โ
Probable exam questions โ Unit 5
Political environment ke components likhiye aur business par unka prabhav samjhaiye. (10)
Legal environment kya hai? Business ko prabhavit karne wale pramukh kanun (laws) likhiye. (10)
